These Terms of Service ("Terms") govern your access to and use of the FigureLabs platform, including the FigureLabs.AI desktop software, official website, and any features, functionality, tools, or related services we provide now or in the future (collectively, the "Services").
1. Your Agreement to These Terms
These Terms form a legally binding agreement between you and FigureLabs. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must immediately stop using the Services.
Your access to and use of the Services are also subject to our Privacy Policy and any additional guidelines, plan descriptions, or policy notices made available through the Services, each of which is incorporated into these Terms by reference.
2. Changes to These Terms
We may revise these Terms from time to time to reflect changes in the Services, applicable law, security requirements, or our business operations. When we make material changes, we will make reasonable efforts to notify you, including by posting an update on the Platform or sending notice to your account email.
Your continued use of the Services after the effective date of updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services.
3. Account and Registration
3.1 Account Requirements
To access certain features of the Services, including image generation, editing, export, and posting features, you may be required to register for an account. You must provide accurate, current, complete, and truthful information and keep that information up to date.
3.2 Eligibility
You must be at least 13 years of age, or the minimum age required in your jurisdiction, to use the Services. If you are under the age of 18 (or the age of majority in your jurisdiction), you may use the Services only with the permission and supervision of your parent or legal guardian.
3.3 Account Security and Responsibility
You are responsible for safeguarding your account credentials and for all activities that occur under your account.
If you use the Services on behalf of a business, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
We may suspend, terminate, or restrict access to your account if you violate these Terms, create legal or security risk, fail to pay amounts due, are subject to lawful governmental requests, or remain inactive for a prolonged period. Where reasonably practicable, we will provide advance notice before permanent termination.
You are responsible for maintaining your own backups of any content you wish to preserve. Subject to applicable law, we do not guarantee continued availability or recoverability of content associated with a suspended or terminated account.
4. User Conduct and Prohibited Activities
4.1 Prohibited Uses
You may use the Services only for lawful purposes and only as expressly permitted under these Terms and applicable law. You may not use the Services, directly or indirectly:
- to exploit, harm, or attempt to exploit or harm minors;
- to generate or disseminate verifiably false or misleading information with intent to cause harm;
- to generate, distribute, or misuse personally identifiable information in a way that could harm an individual;
- to infringe, misappropriate, or otherwise violate any intellectual property, privacy, publicity, confidentiality, or other rights of any person or entity;
- to defame, harass, intimidate, threaten, or otherwise disparage any person or group;
- for fully automated decision-making processes that may adversely affect an individual's legal rights or entitlements;
- to discriminate against or harm individuals or groups based on protected characteristics or vulnerabilities;
- to provide medical, legal, immigration, asylum, or other regulated professional advice or decisions; or
- to generate or use content in a manner prohibited by applicable law, publisher policy, marketplace policy, or institutional policy.
4.2 Technical Restrictions
You may not, and may not permit or encourage any third party to:
- copy, reproduce, modify, adapt, reverse engineer, decompile, or disassemble the Services except to the extent expressly permitted by applicable law;
- remove or alter proprietary notices or labels contained in or displayed through the Services;
- sell, rent, lease, sublicense, assign, distribute, publicly display, publicly perform, transmit, or otherwise commercially exploit any part of the Services itself without our prior written consent;
- use any robot, spider, scraper, crawler, or other automated means to access, extract, or harvest data from the Services;
- upload or distribute malware, ransomware, spyware, or other malicious code; or
- interfere with, disrupt, or attempt to gain unauthorized access to the Services, connected systems, or user accounts.
We may remove content, suspend access, or take any other action we reasonably deem necessary to enforce these Terms, protect users, or comply with applicable law.
5. User Content, Output Rights, and Commercial Use Authorization
5.1 Definitions
For purposes of these Terms:
- "Input" means any prompt, text, reference image, file, dataset, URL, experimental data, or other material submitted, uploaded, imported, or otherwise provided by you to the Services.
- "Output" means any visual, textual, or other content generated, transformed, edited, or arranged through the Services in response to your use of the platform.
- "User Content" means your Input and any other materials you upload, import, submit, arrange, or store through the Services.
- "FigureLabs Materials" means the FigureLabs website, software, proprietary Vector Editor, templates, interface elements, documentation, and other proprietary materials made available by FigureLabs, excluding User Content and excluding any rights, if any, that may subsist in raw AI-generated portions of Output.
5.2 Ownership of User Content
You retain all right, title, and interest in and to your User Content, subject only to the limited rights granted to us in these Terms. We claim no ownership over your original text, experimental data, reference images, or other external materials that you import, upload, and arrange within the Services.
5.3 Rights in Output; Commercial Use Authorization
Subject to your compliance with these Terms, applicable law, and any applicable upstream provider terms, FigureLabs authorizes you to use, reproduce, display, distribute, and publish Output generated through the Services in accordance with your subscription plan.
For Output generated or exported during an active paid subscription, FigureLabs grants you a non-exclusive, worldwide, perpetual license to use such Output for commercial, academic, educational, and publishing purposes, subject to these Terms. Those rights survive expiration or cancellation of the applicable paid subscription with respect to Output generated or exported while that paid subscription was active.
FigureLabs does not claim ownership of the raw AI-generated portions of Output. To the extent FigureLabs owns or controls any transferable rights in FigureLabs-created assets or protected platform elements incorporated into the Output, FigureLabs grants such rights to you as set forth herein. To the extent no such transferable rights exist, FigureLabs contractually authorizes your permitted use of such Output and agrees not to assert claims against you based solely on such permitted use.
5.4 Free Plan Restrictions
Unless expressly stated otherwise in the applicable plan description, Output generated under a Free Plan may be used only for personal, internal, non-commercial, and non-publishing evaluation purposes. Commercial publication, journal submission, client delivery, marketplace distribution, or other monetized use requires an active paid subscription.
If FigureLabs expressly offers retroactive commercial-use authorization upon upgrade, such authorization will apply only from the date of upgrade and only to Output associated with the same account, provided the account is in good standing and otherwise compliant with these Terms.
5.5 Modifications and Derivative Works
You may export, edit, crop, annotate, modify, and incorporate Output into derivative or composite works, including multi-panel figures, diagrams with added text or data, presentation slides, posters, manuscripts, and other publication materials, whether using FigureLabs or third-party software such as Adobe Illustrator or PowerPoint.
FigureLabs claims no ownership in your independent modifications, selection, coordination, arrangement, annotations, or other human-authored contributions to such derivative works.
5.6 License Grant to FigureLabs
You grant FigureLabs and its affiliates, service providers, and subprocessors a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, transmit, and otherwise use your User Content solely as necessary to provide, maintain, secure, debug, improve, and develop the Services for you, to comply with applicable law, and to enforce these Terms.
5.7 User Responsibilities and Warranties
You are solely responsible for your User Content and for ensuring that you have all rights, licenses, consents, and permissions necessary to upload, process, use, and authorize us to process such User Content through the Services.
You represent and warrant that your User Content and your use of the Services do not and will not infringe, misappropriate, or violate any intellectual property, privacy, publicity, confidentiality, contractual, or other rights of any third party, and will not require FigureLabs to obtain any additional licenses, make any payments, or provide any attribution except as expressly agreed by us in writing.
5.8 Disclaimer Regarding AI Output and Third-Party Models
Artificial intelligence and machine learning are complex and evolving technologies. Output may be inaccurate, incomplete, outdated, biased, non-unique, or otherwise unsuitable for a particular purpose. You are solely responsible for evaluating the accuracy, legality, appropriateness, and fitness of any Output for your intended use case.
AI-Generated Content and Scientific Accuracy: Due to the nature of AI, Outputs may contain scientific, technical, or factual errors, inaccuracies, or "hallucinations," including but not limited to errors in biological structures, molecular representations, pathway diagrams, or other scientific illustrations. FigureLabs does not guarantee the scientific, medical, technical, or academic accuracy of any Output. You are solely responsible for reviewing, verifying, and validating all Outputs for scientific correctness before using them in any academic, clinical, research, or professional context. FigureLabs accepts no liability for manuscript rejections, retractions, or any other consequences arising from scientific inaccuracies in Output.
FigureLabs operates as an application layer and workflow platform that may integrate authorized generative AI models and APIs provided by third parties. While FigureLabs seeks to use upstream providers whose services are authorized for commercial use, FigureLabs does not warrant that any Output will be non-infringing, error-free, unique, or suitable for any specific legal, regulatory, academic, commercial, or publishing purpose. FigureLabs does not make independent representations regarding the provenance, sufficiency, or non-infringing status of the training data used by third-party foundation models.
You may not use Output relating to an identifiable individual in a manner that could have a legal, financial, reputational, medical, employment, housing, insurance, educational, or similarly material impact on that person.
5.9 Publication and Marketplace Policies
You are solely responsible for determining whether your intended use of any Output is permitted by the policies of your target publisher, journal, institution, marketplace, distributor, or other third party. FigureLabs does not guarantee acceptance of any Output by any publisher, journal, marketplace, or platform, and does not provide legal advice regarding publication clearance, copyright registrability, or platform-specific review standards.
6. Paid Services and Payments
6.1 Paid Services
Certain features or functionalities may be offered free of charge, while other features require payment before access is granted. The scope, features, pricing, billing interval, renewal terms, and applicable conditions of each Paid Service will be described on the relevant purchase or subscription page.
We may modify or discontinue Free Services or Paid Services, including pricing, features, or billing structures, to the extent permitted by applicable law. Except where required by law or necessary for legal, technical, or security reasons, such changes will not retroactively deprive you of rights validly acquired for an already-paid subscription term.
6.2 Purchase, Billing, and Renewal
Payments for Paid Services may be processed through third-party payment processors such as Stripe or app-store billing channels. Your payment processing is subject to the applicable terms, conditions, and privacy policies of those providers, and we are not responsible for their independent acts or omissions.
If you purchase an auto-renewing subscription, you authorize us or the applicable platform to store your payment information and charge your selected payment method at the beginning of each renewal period unless and until you cancel in accordance with the applicable cancellation procedures.
You are responsible for all charges incurred under your account. If we do not receive payment when due, we may suspend or terminate access to Paid Services until payment is received.
6.3 Refund Policy
Unless otherwise required by applicable law, all fees and charges are non-refundable. We do not provide refunds or credits for any partial-month membership periods, unused Services, or accidental purchases, including but not limited to selecting an annual billing cycle instead of a monthly billing cycle. It is your sole responsibility to manage your subscription and select the correct billing options before completing a purchase.
Notwithstanding the foregoing, FigureLabs reserves the right, but is not obligated, to consider refund requests on a case-by-case basis in our sole and absolute discretion. Any refunds granted will be processed via the original payment method and may be subject to processing fees.
7. Intellectual Property Complaints and Repeat Infringers
We respect intellectual property rights and expect our users to do the same. We may remove content, block access, terminate accounts of repeat or serious infringers, and take any other action we reasonably deem appropriate to protect rights and comply with the law.
If you believe your intellectual property rights have been infringed, please contact us at support@figurelabs.ai and include:
- a physical or electronic signature of the person authorized to act on behalf of the rights owner;
- a description of the copyrighted work or other intellectual property allegedly infringed, including proof of ownership or authority;
- a description of the allegedly infringing material and where it is located on the Services;
- your name, address, phone number, and email address; and
- a statement that you have a good-faith belief that the disputed use is not authorized by the rights owner, its agent, or the law.
8. Third-Party Services
The Services may incorporate, interoperate with, or rely on third-party services, including third-party large language models, image models, APIs, payment processors, cloud infrastructure, and analytics tools. Your use of those third-party services may be subject to additional terms and policies imposed by the relevant third parties.
To the fullest extent permitted by law, any dispute you may have with a third-party provider arising from your use of their services is solely between you and that provider. We are not responsible for content or output generated directly by third-party services, except to the extent required by applicable law.
9. Disclaimer of Warranties
THE SERVICES, FIGURELABS MATERIALS, AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FIGURELABS DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.
WITHOUT LIMITING THE FOREGOING, FIGURELABS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, FREE OF HARMFUL CODE, OR THAT ANY OUTPUT WILL BE ACCURATE, COMPLETE, CURRENT, RELIABLE, UNIQUE, OR ACCEPTED BY ANY THIRD PARTY.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIGURELABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITY, OR REPUTATIONAL HARM, ARISING OUT OF OR RELATING TO THE SERVICES, ANY OUTPUT, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIGURELABS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES, ANY OUTPUT, OR THESE TERMS SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO FIGURELABS DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms excludes or limits liability to the extent such liability cannot be excluded or limited under applicable law.
11. Indemnification
You agree to defend, indemnify, and hold harmless FigureLabs, its parent companies, subsidiaries, affiliates, licensors, service providers, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- your use of the Services or Output;
- your User Content;
- your violation of these Terms or applicable law; or
- your infringement, misappropriation, or other violation of any rights of a third party.
12. Dispute Resolution and Governing Law
These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict-of-laws principles.
Any dispute, controversy, difference, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, interpretation, performance, breach, termination, or any non-contractual obligation arising out of or in connection with them, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre ("HKIAC") under the HKIAC Arbitration Rules in force when the Notice of Arbitration is submitted.
The law applicable to this arbitration clause shall be Hong Kong law. The seat of arbitration shall be Hong Kong. The arbitration shall be conducted by a single arbitrator, in English, unless otherwise agreed by the parties. The arbitral award shall be final and binding on the parties.
